SUPERIOR COURT OF ALASKA GRANTS ORDER ACCESSING BOOKS & RECORDS AND REQUEST FOR SEPTEMBER 23, 2023 SHAREHOLDER MEETING

 

YAKUTAT, Alaska, August 30, 2023 – The Yaakwdáat Latínx’i (Stewards of Yakutat) Coalition filed a motion requesting the Superior Court for the State of Alaska order the Yak-tat Kwaan, Inc. release the Shareholder Records and order an immediate Annual Shareholder meeting on September 23, 2023. In case no. 3AN-23-06096CI, the superior court has ordered the corporation to hold its annual meeting of shareholders on September 23, 2023. The court has further ordered the plaintiff’s access to books and records, allowing access to the Shareholder Records. The order was granted on Monday, August 28, 2023, at 4:41 PM.

 

Judge Hartz states within the order:

 

“Defendants are currently subject to an investigation and audit for alleged wrongdoing – part of which pertains to their failure to produce records – and Plaintiffs request a list of shareholders so they may issue requisite notices to hold an overdue shareholder's meeting where they hope to oust the holdover directors.”

From August 7 to 28, 2023, the Yaawkdáat Latínx’i Coalition accepted Letters of Interest from shareholders interested in running as a coalition-endorsed slate in the upcoming election. After much deliberation, a slate has been selected and the Coalition is pleased to announce that a GREEN PROXY identifying nine candidates will be mailed to Shareholders in preparation for the upcoming shareholder meeting.

  

"For our efforts to be successful, remember that once you've signed and sent the GREEN PROXY, don't send any other ones. Only the latest signed proxy counts," explains Amanda Bremner, Coalition co-chair, plaintiff, and board candidate.

The Annual Shareholder meeting will take place on September 23, 2023 at 1:00 PM at the ANB Hall in Yakutat, Alaska.
